Whitepaper Non-Disclosure Agreement

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between:

  • JetLink Technologies Ltd. ("JetLink", "we", "us", or "our"), a company registered in England and Wales under company number 17100204, with its registered office at Level 9, Berkeley Square House, Berkeley Square, London W1J 6BY, United Kingdom; and
  • The Recipient ("you" or "your"), being the individual who accepts this Agreement by submitting a whitepaper request through the HyperLog website at hyperlog.aero.

2. Purpose

JetLink has developed a technical whitepaper describing the architecture, design, and proprietary methodologies of HyperLog, a blockchain-based pilot logbook and digital credentials platform ("the Whitepaper"). You have requested access to the Whitepaper for the purpose of personal evaluation and internal business assessment ("the Purpose"). This Agreement sets out the terms under which the Whitepaper is disclosed to you.

3. Confidential Information

"Confidential Information" means the Whitepaper in its entirety and all information contained within it, including but not limited to: technical architecture, system design, channel structures, verification methodologies, cryptographic implementations, data models, credential flows, governance frameworks, revenue models, development roadmaps, and any other proprietary or commercially sensitive information disclosed therein.

4. Obligations of the Recipient

In consideration of receiving the Whitepaper, you agree to:

  • Treat the Whitepaper and all Confidential Information contained within it as strictly confidential.
  • Not disclose, distribute, forward, copy, or otherwise share the Whitepaper or any part of its contents with any third party without the prior written consent of JetLink Technologies Ltd.
  • Not reproduce, publish, or publicly reference the Confidential Information in any form, including but not limited to written publications, digital media, or presentations.
  • Use the Whitepaper and its contents solely for the Purpose, being your personal evaluation and internal business assessment.
  • Take all reasonable steps to protect the confidentiality of the Whitepaper and to prevent any unauthorised access, disclosure, or use.
  • Promptly notify JetLink Technologies Ltd. if you become aware of any unauthorised disclosure or use of the Confidential Information.

5. Permitted Disclosures

You may disclose Confidential Information to your employees, officers, or professional advisers ("Permitted Recipients") who have a genuine need to review it for the Purpose, provided that:

  • You inform such Permitted Recipients of the confidential nature of the information and the terms of this Agreement.
  • You ensure that each Permitted Recipient complies with obligations of confidentiality no less restrictive than those set out in this Agreement.
  • You remain responsible for any breach of this Agreement by your Permitted Recipients.

6. Exclusions

The obligations of confidentiality in this Agreement shall not apply to information that:

  • Is or becomes publicly available other than through a breach of this Agreement.
  • Was already in your possession prior to disclosure by JetLink, as evidenced by written records.
  • Is independently developed by you without reference to the Confidential Information.
  • Is required to be disclosed by law, regulation, or order of a court or regulatory authority, provided that you give JetLink reasonable prior written notice of such disclosure where legally permitted.

7. Intellectual Property

All intellectual property rights in the Whitepaper and the Confidential Information remain the exclusive property of JetLink Technologies Ltd. Nothing in this Agreement grants you any licence, right, title, or interest in any intellectual property of JetLink, whether by implication, estoppel, or otherwise.

8. Return and Destruction

Upon written request by JetLink Technologies Ltd., you shall promptly delete all copies of the Whitepaper in your possession or control, including any electronic copies, and confirm such deletion in writing within fourteen (14) days of the request.

9. Duration

The obligations of confidentiality set out in this Agreement shall remain in effect for a period of three (3) years from the date of your acceptance, regardless of whether or when the Whitepaper is provided to you.

10. No Warranty

The Whitepaper is provided on an "as is" basis. JetLink Technologies Ltd. makes no representations or warranties, express or implied, as to the accuracy, completeness, or fitness for any particular purpose of the information contained in the Whitepaper.

11. Acceptance

By checking the Non-Disclosure Agreement checkbox and submitting the whitepaper request form at hyperlog.aero/whitepaper, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. Your acceptance constitutes a binding agreement between you and JetLink Technologies Ltd.

The following information is recorded at the time of acceptance:

  • Your full name (as provided in the request form)
  • Your email address
  • Your LinkedIn profile URL
  • The date and time of acceptance (UTC)

12. Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed severed from this Agreement. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of this Agreement, which shall continue in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between the Parties in relation to its subject matter and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, relating to the confidentiality of the Whitepaper. No variation of this Agreement shall be effective unless made in writing and signed by or on behalf of JetLink Technologies Ltd.

14. Waiver

No failure or delay by JetLink Technologies Ltd. in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of that or any other right, power, or remedy. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law.

15. Electronic Acceptance

The Parties agree that this Agreement may be accepted electronically and that such electronic acceptance shall be deemed to satisfy any requirement for a signature or writing under the Electronic Communications Act 2000, the eIDAS Regulation (as retained in UK law), and any other applicable legislation. You acknowledge that your act of clicking "I Agree" on the HyperLog whitepaper request form, in combination with the personal information you have provided, constitutes a valid and binding electronic signature.

16. Remedies

You acknowledge that any breach of this Agreement may cause JetLink Technologies Ltd. irreparable harm for which monetary damages may be an inadequate remedy, and that JetLink shall be entitled to seek injunctive or other equitable relief in addition to any other remedies available at law.

17. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement.
